Appendix No. (1)
These policies are complementary to the contract with the supplier and include the following:
Article One: Warranty and Return Policy
- The warranty period is the period determined by the second party and accepted by the end customer in the transaction contract and a guarantee is provided according to the requirements of the supplier unless otherwise agreed in writing.
- The warranty covers the terms approved by the second party in the contract of the transaction, for example, manufacturing malfunctions or technical defects, and does not cover misuse.
- The second party provides exchange or returns service according to the type of defect, after verifying the product.
- Goods may be returned if they do not conform to the specifications or quantities agreed upon at the time of concluding the procurement, provided that the return request is submitted within a period of 7 days from the date of receipt of the goods, provided that they are in their condition at the time of due diligence and documented with sufficient documents for conformity at the time of delivery.
- Return costs shall be borne by the party causing the damage or error.
Article Two: Procedures for Dealing with Complaints
- Complaints should be sent via official email or through the platform's contact form.
- The interested party is obliged to respond within a period not exceeding (5) working days.
- In the event of non-resolution, the complaint shall be submitted to the level of the senior management of the platform within (3) additional working days.
Article Three: Requirements for registering customers and sellers on the platform
Article (1): General Conditions of Registration
- The customer or seller must be a natural or legal person with full legal capacity in accordance with the regulations in force in the Kingdom of Saudi Arabia or any other country in which the use of the platform is available.
- Fill out the electronic registration form with all the required data accurately and correctly.
- Agree to the terms and conditions of use of the platform and privacy policies.
- Provide the required documents such as: National ID / Commercial Registration, and Bank Account Number.
Article (2): Seller's Obligations
- Commitment to providing accurate information about the products in terms of specifications, price and condition.
- Not to display or sell any prohibited or regulatory products.
- Adhere to the agreed pricing, warranty and return policy.
Article (3): Obligations of the Customer (Buyer)
- Provide correct information when ordering the product.
- Commitment to payment and receipt policies.
- Not to misuse the platform or make fake requests.
Article Four: Terms and Conditions of Use of the Platform and Privacy Policies
Article (1): Terms of Use of the Platform
- All users (customers, vendors, representatives) must register using correct and up-to-date data.
- It is forbidden to use the platform for any illegal purposes or in violation of the applicable regulations and instructions.
- No part of the Platform may be copied, redistributed or modified without the prior written consent of the first party.
- The First Party reserves the right to suspend or cancel the account of any user who violates the Terms of Use.
Article (2): Privacy Policy
- The platform administration is committed to protecting the privacy of all users and not to disclose their data to any third party without written consent unless required by a legal order.
- The data is used for operation, optimization, performance analysis, and customer service purposes only.
- The user is granted the right to request correction or deletion of his data through official support channels.
Article (3): Account Protection
- It is the user's responsibility to maintain the confidentiality of his/her login information.
- Any unauthorized use of the account must be reported immediately.
Article (4): Policy Update
The first party has the right to amend these terms and policies at any time, and users are notified of updates via email or within the platform.
Article (5): Acceptance
Use of the Platform constitutes express consent to all terms, conditions and privacy policies contained in this Addendum.
Article Five: Misuse and Fraud Prevention Policy
Article 1: Definition of abuse
Misuse includes any conduct that confuses, disrupts or exploits the Platform in ways contrary to its legitimate business purposes, including:
- Create fake accounts or use incorrect information.
- Upload misleading or unauthorized data or content.
- Manipulation of pricing, valuation or order mechanisms.
Article (2): Fraudulent Acts
- Attempt to circumvent the payment or collection system.
- Selling non-original or non-specification products.
- Using names or logos like the platform for the purpose of misleading.
Article (3): Reporting and Processing Mechanism
- Any user has the right to submit a report of abuse via the official email of the platform.
- Reports are reviewed within (3) working days.
- Immediate initial action (temporary suspension of the account) is taken until the investigation is completed.
Article (4): Penalties
- Permanently cancel the user account.
- Blocking access to the platform.
- Take the necessary legal action and claim compensation.
Article (5): General Provisions
- This policy is governed by the anti-cybercrime and e-commerce regulations in the Kingdom of Saudi Arabia.
- This policy is updated as needed and users are notified of related updates.
Article Six: Requirements of the Trade Representative in the Kingdom of Saudi Arabia or any other country
Article (1): Definition
"Commercial Representative" means any individual or entity licensed to market, sell, or promote products or the Platform on behalf of one or both parties, whether inside or outside the Kingdom of Saudi Arabia.
Article (2): Statutory Conditions for the Commercial Representative within the Kingdom
- To be a Saudi national or hold a legal license to practice the activity.
- To have a valid commercial register that includes commercial representation or marketing activity.
- Sign a detailed agreement with the interested party specifying the tasks, geographical scope and duration of representation.
- Compliance with Saudi commercial regulations, especially the commercial agencies and commercial representation system.
Article (3): Statutory conditions for the representative outside the Kingdom
- Obtaining the necessary licenses from the country in which commercial representation is practiced.
- Compliance with local laws in addition to contractual terms with the Saudi party.
- Continuous coordination with platform management and adherence to the approved marketing and promotion policies.
Article (4): Obligations of the Trade Representative
- Maintain the business reputation of the party represented and the platform.
- Provide periodic reports on its performance and the results of campaigns.
- Not to contract or conclude deals in the name of the platform without official written authorization.
Article 5: Sanctions
Any breach of these requirements shall be grounds for termination of the relationship with the Trade Representative and a claim for necessary damages if necessary.
